1. Agreement to Terms

By downloading, installing, or using HAI ("the App," "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the App.

These Terms constitute a legally binding agreement between you and the developer of HAI ("we," "us," or "our"). These Terms apply to all users of the App.

2. Description of Service

HAI is an AI-powered personal coaching application. It allows users to:

• Set and track personal goals.
• Engage in coaching conversations with an AI assistant.
• Receive scheduled check-ins and reminders.
• Build a private, persistent long-term memory that informs coaching over time.

Full access to HAI requires a paid subscription — see Section 5 (Subscriptions, Billing, and Auto-Renewal).

The AI coaching provided by HAI is intended as a personal productivity and self-development tool. HAI is not a licensed therapist, psychologist, counselor, medical provider, or crisis service. Nothing in the App constitutes professional medical, mental health, legal, or financial advice.

3. Eligibility

You must be at least 13 years old to use HAI. By using the App, you represent that you meet this age requirement. If you are under 18, you represent that a parent or legal guardian has reviewed and agreed to these Terms on your behalf.

4. Account Registration

4.1 Account Creation

You must create an account to use HAI. You agree to provide accurate, current, and complete information during registration and to keep it updated.

4.2 Account Security

You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at mayottekyle@gmail.com if you suspect unauthorized access.

4.3 One Account Per Person

Accounts are personal and non-transferable. You may not create accounts on behalf of others or operate multiple accounts for the purpose of circumventing any usage limits.

5. Subscriptions, Billing, and Auto-Renewal

5.1 HAI Pro

Full access to HAI requires a paid subscription ("HAI Pro"). We currently offer two auto-renewing plans:

• Monthly — $9.99 per month.
• Annual — $59.99 per year.

Each plan includes a 3-day free trial for eligible new subscribers (one free trial per subscription group, per Apple's rules). Prices are shown in the App in your local currency at the point of purchase and may vary by region and change over time.

5.2 Payment and Auto-Renewal

Subscriptions are sold through the Apple App Store and billed to your Apple ID. Payment is charged to your Apple ID at confirmation of purchase, or at the end of the free trial if one applies.

Your subscription automatically renews unless auto-renew is turned off at least 24 hours before the end of the current period. Your Apple ID account is charged for renewal at the then-current price within 24 hours before the end of the current period. A free trial, if offered, automatically converts to a paid subscription unless cancelled at least 24 hours before the trial ends. Any unused portion of a free trial is forfeited when you purchase a subscription.

5.3 Managing and Cancelling

You can manage your subscription, turn off auto-renew, or cancel at any time in your device's Settings → [your name] → Subscriptions (or through the App Store). Cancelling stops the next renewal; you keep Pro access until the end of the current paid period. Deleting the App does not cancel your subscription.

5.4 Refunds

All purchases are processed by Apple and are subject to Apple's refund policies. We do not process payments directly and cannot issue refunds; refund requests must be made to Apple at reportaproblem.apple.com. Except where required by applicable law, subscription fees are non-refundable and partial-period refunds are not provided.

5.5 Price Changes

We may change subscription prices. Where a price increase would apply to your existing subscription, Apple will notify you and, where required, obtain your consent before the change takes effect, in accordance with App Store rules. Continued subscription after a price change takes effect constitutes acceptance of the new price.

6. Acceptable Use

6.1 Permitted Use

You may use HAI solely for lawful personal coaching and self-development purposes, in accordance with these Terms.

6.2 Prohibited Use

You agree not to:

• Use the App for any unlawful purpose or in violation of any applicable law.
• Attempt to access, probe, or test the security of HAI's backend systems.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the App's source code.
• Transmit content that is harmful, abusive, harassing, defamatory, or otherwise objectionable.
• Attempt to input prompts designed to manipulate the AI into producing harmful, deceptive, or policy-violating output.
• Scrape, crawl, or systematically extract data from the App or its backend.
• Use the App to develop a competing product using insights derived from HAI's responses, features, or architecture.
• Share, resell, or sublicense access to the App.

7. AI-Generated Content

7.1 Nature of AI Responses

HAI's coaching responses are generated by large language models. These responses:

• May be inaccurate, incomplete, or outdated.
• Are not guaranteed to be free from errors, hallucinations, or unintended content.
• Do not represent professional advice of any kind.

7.2 Your Responsibility

You are solely responsible for how you interpret and act on AI-generated content. Do not rely on HAI for decisions involving health, safety, legal matters, or financial planning without consulting a qualified professional.

7.3 No Crisis Support

HAI is not a crisis resource. If you are experiencing a mental health emergency, please contact a licensed mental health professional or emergency services in your area (e.g., 988 Suicide & Crisis Lifeline in the US).

8. Intellectual Property

8.1 Our Property

The App, its design, code, features, and branding are owned by us and protected by intellectual property laws. These Terms do not grant you any ownership rights in the App.

8.2 Your Content

You retain ownership of content you submit to HAI (conversations, goals, reflections). By submitting content, you grant us a limited, non-exclusive, worldwide license to process and store your content solely for the purpose of operating and improving the Service for you.

We do not use your personal conversations to train AI models without your explicit consent.

9. Privacy

Your use of HAI is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review it carefully.

10. Third-Party Services

HAI relies on third-party services including Supabase, Google (Gemini), OpenAI, RevenueCat, and Apple. Your use of the App is also subject to the relevant terms and policies of those providers. We are not responsible for the availability, accuracy, or conduct of third-party services.

11. Disclaimer of Warranties

HAI is provided "as is" and "as available" without warranties of any kind, express or implied. To the fullest extent permitted by law, we disclaim all warranties, including:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• That the App will be uninterrupted, error-free, or free of viruses or harmful components.
• That any results obtained through the App will be accurate or reliable.

12. Limitation of Liability

To the fullest extent permitted by applicable law, we shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages.
• Loss of data, profits, goodwill, or other intangible losses.
• Damages arising from your reliance on AI-generated content.
• Damages resulting from third-party service outages or failures.

In jurisdictions that do not allow the exclusion or limitation of certain damages, our liability is limited to the maximum extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless us and our service providers from any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising from:

• Your use of or access to the App.
• Your violation of these Terms.
• Your violation of any third-party rights.
• Any content you submit through the App.

14. Termination

14.1 By You

You may stop using HAI at any time and delete your account by contacting us at mayottekyle@gmail.com. Deleting your account does not automatically cancel an active subscription — cancel it separately as described in Section 5.3.

14.2 By Us

We reserve the right to suspend or terminate your account and access to the App at any time, with or without notice, if:

• You violate these Terms.
• We are required to do so by law.
• We discontinue the Service.

14.3 Effect of Termination

Upon termination, your right to use the App ceases. Sections 8 (Intellectual Property), 11 (Disclaimer), 12 (Limitation of Liability), 13 (Indemnification), and 16 (Governing Law) survive termination.

15. Changes to These Terms

We may modify these Terms at any time. If changes are material, we will notify you via in-app notice or email at least 14 days before they take effect. Continued use of the App after changes take effect constitutes acceptance of the revised Terms.

If you do not agree with updated Terms, you must stop using the App and may delete your account.

16. Governing Law and Disputes

These Terms are governed by the laws of the State of Illinois, without regard to its conflict of law principles.

Any dispute arising from these Terms or your use of HAI shall first be addressed through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association (AAA), conducted in Chicago, Illinois, except that either party may seek injunctive relief in a court of competent jurisdiction for intellectual property violations or unauthorized access.

Class Action Waiver: You agree to resolve disputes on an individual basis only and waive the right to participate in class actions.

17. Apple App Store — Additional Terms

If you downloaded HAI from the Apple App Store, the following also apply:

• These Terms are between you and us only, not Apple. Apple is not responsible for the App or its content.
• Apple has no obligation to provide maintenance or support for HAI.
• In the event of any third-party intellectual property claim relating to the App, Apple is not responsible for investigation, defense, settlement, or discharge of such claim.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
• Your use of the App must comply with the Apple App Store Terms of Service, and any auto-renewing subscription is additionally subject to Apple's Media Services terms.

18. Miscellaneous

• Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and us regarding HAI.
• Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
• No Waiver: Our failure to enforce any right or provision is not a waiver of that right.
• Assignment: You may not assign your rights under these Terms. We may assign ours without restriction.
